What was the purpose of spinning-off Pegatron in 2010?

To have better business ownership and reduce the potential conflicts of interests between Brand and ODM operations, ASUS decided to spin off its ODM operation as an independent company -  Pegatron. After the separation, both companies could create better value streams to expand business and strengthen competitiveness, thus improving long term shareholder value.

How did the Pegatron Spin-off in 2010 impact ASUS’ shareholders?

The spin-off gave 75% of Pegatron’s shares to the original shareholders of ASUS, and 25% of shares to ASUS. Before the Spin-off, ASUS’ shareholders had 100% ownership of both Brand and ODM business of ASUS Group.  After the Spin-off, the shareholders still own 100% of Brand business directly by holding ASUS shares. Shareholders also own 100% of ODM business (Pegatron) by holding 75% of the shares directly and 25% of shares owned by ASUS. There was no impact to the shareholder value.
